TAN Entrepreneurship Workshop with Fenwick & West, LLP - LEGAL ISSUES IN STARTING A TECHNOLOGY COMPANY

Fenwick & West LLP will be hosting a half-day workshop for TAN members, partners and affiliates on ?Legal Issues in Starting a Technology Company?. This workshop will cover topics such as choice of formation entity, founders stock, employee incentives, stock vesting, preferred stock financing, debt financing and exit strategies. The workshop will focus on the nuts and bolts of starting and running a Technology Company to the point of exit. Please join us for this amazing opportunity.

Speakers

Barry Kramer | Partner, Corporate Group | Fenwick & West LLP

Mr. Kramer represents a wide range of technology and life science companies, from privately held start-ups to publicly traded companies, as well as prominent venture capital funds. His emphasis lies in start-up issues, Venture Capital financings, M&A, IPO, joint ventures and technology licensing. He was selected as one of the top 25 Venture Capital lawyers in the US by Chambers USA Legal Directory, and as one of the top 100 Business/Corporate lawyers in California bySuper Lawyers magazine. Mr. Kramer has spoken numerous times on various business and legal topics, including teaching an accredited course at UCSF entitled "A Scientist's Guide to Intellectual Property" and speaking at various PLI programs related to venture investing. He is the author of a quarterly venture capital survey, as well as a firm brochure on technology licensing. Mr. Kramer graduated from Stanford Law School in 1982.

Kris S. Withrow | Associate in the Corporate Group | Fenwick & West LLP.

Mr. Withrow’s practice focuses on mergers and acquisitions, strategic and commercial transactions, private equity and corporate finance.  His transactional experience includes over 50 completed mergers, acquisitions and divestitures, including numerous cross-border transactions.

Mr. Withrow received his J.D. from the University of Michigan Law School in 2001, where he was Associate Editor of the Michigan Telecommunications and Technology Law Review. He received his B.A. in history with a minor in public policy, from the University of California, Berkeley, in 1996, where he was a member of the Undergraduate Students’ Honor Society.

Steven S. Levine is of counsel in the Corporate Group of Fenwick & West LLP, a law firm specializing in technology and life sciences matters.  His practice focuses on advising early-stage to late-stage start-up technology companies on a variety of transactions.  This includes formation of start-up companies, venture capital and debt financings, mergers and acquisitions, intellectual property protection and licensing, and other corporate and commercial transactions in both domestic and international marketplaces. Mr. Levine's practice also includes representing venture capital firms and other investors.

Mr. Levine received his undergraduate education from the University of California, Los Angeles, graduating with a B.A. in political science.  He also attended the University of California, Davis, where he received a J.D. and MBA.  Mr. Levine is a member of the State Bar of California.

 

Nicole Harper is an associate in the Corporate Group of Fenwick & West LLP, a law firm specializing in technology and life sciences matters. Ms. Harper practices out of the firm’s San Francisco, California, office.

Ms. Harper advises private companies, with a focus on early stage companies, in all aspects of general corporate and corporate securities laws from formation and corporate governance to intellectual property and commercial transactions to employment issues.  She has negotiated and structured a wide variety of corporate transactions including venture capital financings, debt financings, corporate reorganizations and real estate deals.  In addition, Ms. Harper represents and advises venture capital firms investing in high technology and life sciences companies.

Ms. Harper attended law school at New York University School of Law, where she graduated with honors in 2000.  She graduated from Wellesley College in 1996 with honors in Philosophy and Political Science. She is admitted to the California Bar.
